They apply to visitors, API users, and enterprise clients who access our software, documentation, and integration modules for managing digital portfolios and asset-backed tokens. By accessing or using the site you agree to these terms and any additional terms that apply to specific services or features.

By accessing or using our website and services you agree to be bound by these Terms of Use and any other policies referenced herein. If you register for an account or access our APIs you represent and warrant that you have the authority to enter into these terms on behalf of the entity you represent. We may update these terms from time to time and will post the revised version on our site; continued use after changes are posted constitutes acceptance of the updated terms. Certain services may be subject to additional agreements, which govern in the event of any conflict with these terms.

2. Use of the Website

You may use our website and documentation for lawful purposes and in accordance with these terms and any applicable integration agreements for enterprise clients. Prohibited uses include interfering with service operations, reverse engineering our APIs or software beyond permitted use, circumventing access controls, and using our services to facilitate illegal activity including money laundering or sanctions evasion. Clients integrating our SimpleSwap-enabled modules for Tether exit protocols must ensure their use complies with all applicable laws and industry rules and must not use the modules for prohibited financial activities. We reserve the right to suspend or terminate access for misuse or suspected violations and to cooperate with law enforcement as required by law.

3. Intellectual Property

All content on the website, including software, APIs, documentation, trademarks, and logos, is the property of Semantic Coordination or its licensors and is protected by intellectual property laws. We grant you a limited, nonexclusive, nontransferable license to access and use the site and documentation solely for your internal business purposes and as permitted by any separate license agreement. To the maximum extent permitted by applicable law, Semantic Coordination and its affiliates and suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity. Our aggregate liability for direct damages arising out of or relating to these terms or your use of our services will be limited to the fees paid by you to Semantic Fit in the twelve months preceding the claim, or a minimum amount required by law if applicable. This limitation does not apply to liability for gross negligence, willful misconduct, or liabilities that cannot be limited by law. You acknowledge that this allocation of risk is an integral part of these terms and the fees charged for our services.

For matters where exclusive jurisdiction is not enforceable, you and Semantic Shared value consent to the exercise of personal jurisdiction in Delaware courts to the fullest extent permitted by law.
